BREAKING: GHL Floors First Bank As Court Sets Aside Assets Freezing Orders

….Judge Says First Bank Suppressed Relevant Facts To Secure Order

In a landmark victory for General Hydrocarbons Limited,  the Federal High Court in Lagos has set aside an order of Mareva injunction freezing  the assets of the company and its directors.

The court, while upholding the arguments of GHL’s counsel, Abiodun Layonu, SAN held that  the injunction violated an existing order from a court of concurrent jurisdiction. In his ruling, Justice Dehinde Dipeolu, stated that when compared with an earlier order issued by Justice Ambrose Lewis-Allagoa in Suit No. 1953, the Mareva Injunction should be set aside.

The court found that First Bank of Nigeria and FBNQUEST LTD, at whose instance the order was procured, failed to fully disclose Justice Lewis-Allagoa’s order, which made the Mareva Injunction incompatible with the earlier ruling.

The court consequently agreed with GHL that First Bank deliberately “suppressed facts” to mislead the court into granting the order against GHL.

The court in the circumstance, said it had no choice but to set aside the order freezing GHL accounts.

First Bank had approached the court via an ex-parte application against General Hydrocarbons Limited and 15 other entities even when there was a subsiting judgement.

Responding to the suit, GHL urged the court to  discharge the order freezing its assets and accounts on the grounds that  the court was misled in granting same.

The oil firm argued that the order was obtained through  fraudulent misrepresentation and concealment of material  facts.

GHL and other applicants accused First Bank of misleading the court to obtain orders against them.

They argued that had all the facts been presented before the trial judge, the order against them would not have been granted.

The trial judge upheld GHL’s arguments and consequently set aside the  freezing order. Meanwhile, GHL directors who were also negatively affected by the ex-parte freezing order have begun proceedings worldwide against First Bank, seeking $1bn each in damages for defamation and wrongful freezing of their accounts.

GHL is also bringing a case in the Legal Practitioners Privileges Committee against First Bank lawyers, Babajide Koku SAN and Victor Ogude SAN for unprofessional conduct.

Judge Adjourns for Ruling in Mareva Suit between First Bank Nigeria and General Hydrocarbons Limited and Several Others

A Mareva injunction suit involving First Bank Nigeria, General Hydrocarbons Limited, and several others took a new turn on Friday, January 17, 2025, as Dr. Abiodun Layonu SAN moved to set aside the injunction and other punitive ex parte orders granted to the plaintiffs.

According to Dr. Layonu, there was a clear case of suppression of facts by the plaintiffs, who failed to disclose material and fundamental facts. Specifically, they withheld information on the judgment of Lewis-Allagoa J of the Federal High Court, which prohibited First Bank Nigeria from enforcing any security or assets of General Hydrocarbons Limited (GHL) related to its operation of OML 120.

Dr. Layonu argued that the plaintiffs should not be allowed to extract a new cause of action when they are already subjudice on the same matter.

He also pointed out that the plaintiffs misled the court into thinking that a judgment sum had already been awarded in their favor, when in fact, the case is still being contested in arbitration.

The asset in question is an oil block, and Dr. Layonu noted that the plaintiffs failed to show how an oil block can be dissipated or relocated.

He emphasized that General Hydrocarbons is fighting to source funds to develop and produce crude in Nigeria, while the plaintiffs are preventing this from happening through strong-arm tactics.

Dr. Layonu questioned whether the court would have granted the Mareva order if the plaintiffs had been honest about the facts. He submitted that the answer should be in the negative.

Meanwhile, Mr. Olumide Aju SAN, representing the second to fifth defendants, argued that his clients should never have been joined in the suit.

He argued that they are not part of the contract between the first defendant and the plaintiffs and never issued any personal guarantees.

Mr. Aju emphasized that this is a clear case of abuse of court and forum shopping, which should not be tolerated.

He also pointed out that there is no established fraud against the second to fifth defendants and that the word “fraud” should not be used loosely to cover up the plaintiffs’ mistakes.

In addition, Mr. Abiodun Anibaba, appearing for the sixth and seventh defendants, argued that his clients have nothing to do with the case and could not understand why they were included in the suit.

He also noted that an undertaking for damages is a condition precedent that should have been fulfilled by the plaintiffs prior to the Mareva order.

The judge has adjourned the case for ruling, and the outcome is eagerly awaited.

The case highlights the complexities of Mareva injunctions and the need for careful consideration of the facts and the law. As Dr. Layonu noted, the court must ensure that justice is served and that the rights of all parties are protected.

How First Bank’s Recklessness Endangered 93 Lives on Oil Rig – GHL Opens Up

A recent statement by General Hydrocarbons Limited (GHL) has shed light on a disturbing incident involving First Bank of Nigeria (FBN) that put the lives of 93 people at risk on an oil rig. According to GHL, FBN’s repeated failures to meet its financial obligations led to a critical situation on October 7, 2023.

“As we said before and will repeat now, all GHL contracts and invoices were vetted and paid by FBN through their Credit and Risk teams directly to all service providers,” GHL stated. “FBN’s repeated failures to pay on time within the contractual framework of 5 days which became up to 70 days or not at all, in a clear breach of its Tripartite Agreement obligations… led to an international incident on October 7, 2023, when the drilling rig Blackford Dolphin, ran out of fuel, food, water and other critical supplies with 93 Souls onboard, and the Rig was on the verge of declaring MAYDAY.”

GHL claimed that FBN’s Managing Director, Olusegun Alebiousu, who was then the Chief Risk Officer, promised to make payments within three days, but failed to do so. “He then worked the phone, calling Suppliers and Service Providers one after the other and promised payment within 3 days. Based on FBN’s assurances, the Service Providers made emergency supplies, but the payment never came,” GHL stated.

To prevent a catastrophe, GHL had to enter into an Irrevocable Third-Party Payment Order with one of the offtakers to pay the suppliers directly. “GHL had to stand its ground against such bullying… We will meet FBN in court with Daily Reports and log details to debunk this continuing misinformation of diversion,” GHL asserted.

The incident has raised questions about FBN’s commitment to good governance and the rule of law. GHL accused FBN of abusing court processes and failing to comply with a valid court order. “FBN then went to Justice D Dipeolu of the same Federal High Court on December 30, 2024, with same lawyers, without disclosing this relevant judgment to the Learned Justice, to obtain a Mareva injunction Exparte freezing order against GHL and individual directors who never signed personal guarantees and thus not personally liable,” GHL stated.

GHL questioned FBN’s motives, asking why it did not put GHL on notice and why it sought an Exparte order. “Is this how a 130-year old blue chip financial institution committed to good governance and rule of law, should behave? Why the hurry to score cheap points to use on social media? If FBN was so sure of its facts why not put GHL on notice? Why an Exparte?” GHL asked.

The dispute between GHL and FBN highlights the need for transparency and accountability in business dealings, particularly in the oil and gas industry. As GHL stated, “We are ready, willing and able to present the body of evidence to any court… Luckily, FBN has not denied the Subrogation MOU and the benefits it got upfront from GHL’s intervention. They should meet their obligations and all will be well.”

Group Condemns Baseless Lies Against Minister Badaru

A group under the auspices of Tinubu Arewa Media 2023, led by Comrade Abdulhamid Bala, has issued resounding condemnation of the baseless allegations circulating against the Minister of Defence, Muhammadu Badaru, by persons it described as certain meddlesome individuals.

The group, which has been in the forefront of the campaign for the victory of President Bola Tinubu, described the media attack on the Minister as unfounded and totally unacceptable.

“These shameless falsehoods, accusing Minister Badaru of an imaginary shadow romance with PDP figures, are nothing but lies from the pit of hell, concocted by those desperate to destabilize the APC and disrupt the unity we have worked hard to build”, the group said in a terse media release on Tuesday.

Comrade Bala denounced the allegations against the Minister as a deliberate, malicious campaign of calumny.

“These detractors are attempting to weaken our party’s stronghold by tarnishing the image of a man who has devoted himself to the APC and to our nation’s progress,” Bala stated.

He explained that “The claims linking Minister Badaru to an opposition plot are the height of absurdity and betrayal, grounded in fiction rather than fact. Those fueling these rumors are simply enemies of progress with no respect for truth or integrity.”

The group insisted that Minister Badaru’s unshakable dedication to the APC, both as a former governor and now as Minister of Defence, is indisputable. It noted that Badaru’s leadership has consistently embodied the values of the APC, advancing the interests of Jigawa State and Nigeria as a whole.

The group further stated that Badaru’s allegiance to the party and unwavering support for President Tinubu’s administration cannot be questioned, as his record of service speaks volumes.

The group called on all APC loyalists and President Tinubu to disregard these pathetic, unfounded rumors intended to distract from the party’s goals.

“These smear campaigns are orchestrated by agents of division and deceit,” Bala continued, “They may try to stir up trouble, but they will find no footing within the APC. Minister Badaru remains an honorable figure of loyalty, courage, and competence.”

The group declared that it stands firmly with Minister Badaru and condemns “the reckless tactics of those attempting to undermine his
legacy and loyalty.

“We remain united against these disgraceful, fabricated attacks, which only highlight the desperation of those who fear the strength and resilience of the APC in Jigawa State and beyond.

LlNo level of slander will distract us from supporting our leaders and pursuing our mission for a stronger, united Nigeria”, they emphasized.

The group, further disclosed that it is well aware of the politician behind this smear campaign against Minister Badaru.

“This same politician, notorious for his intolerance, previously resorted to similar tactics in dealings with a Mining business partner.

“We therefore issue our final warning: if this individual dares to target Minister Badaru with such deceitful antics again, the group will not hesitate to expose his full identity to the public, through the media”, it threatened.

Do Not Destroy Democracy In Nigeria: CNPP Charges INEC to Stay Impartial in Edo Election

The Conference of Nigeria Political Parties (CNPP) has warned the Independent National Electoral Commission (INEC) to maintain neutrality and ensure the sanctity of the electoral process in the Edo State Governorship Election.

In a statement signed by its Deputy National Publicity Secretary, Comrade James Ezema, the CNPP emphasized that “As Edo State citizens have exercised their right to vote, it is crucial that INEC remains impartial and transparent during the collation of results.” It is worrisome and troubling that the feelers we are getting from Edo State confirm a deliberate ploy by one of the big parties who are mouthing the support of Mr President, and insisting on changing the results and the figures already on the INEC Portal. Mr President MUST call them to order.

The CNPP insists that INEC must safeguard the trust of Nigerians by prioritizing the integrity of the process, warning against manipulation or undermining democracy in the State.

“INEC must not allow itself to be used to scuttle democracy in Edo State under any circumstances” the CNPP cautioned.

With the Ondo State governorship election on the way, the CNPP stresses the importance of INEC demonstrating its commitment to conducting credible elections to restore confidence in the electoral process after the questionable 2023 general elections.

“We call on all stakeholders, including political parties, candidates, and security agencies, to prioritize peace and decorum during the collation process,” the CNPP said. “Let us work together to strengthen Nigeria’s democracy by allowing citizens to freely choose their leaders.”

The CNPP’s call to action comes as Nigerians watch closely to see if INEC will deliver on its promise of free, fair, and credible elections.

Banditry: Dauda Lawal and The Doctrine of Res Ipsa Loquitur

By Ali Mohammed

The latest exposes surrounding Governor Dauda Lawal’s purported complicity in financing banditry in Zamfara State have sparked widespread astonishment and demands for clarity. Presently, Zamfara State is grappling with an unprecedented surge in banditry and insurgency, with communities being increasingly besieged, and Governor Lawal’s actions and decisions have come under intense scrutiny.

The governor’s alleged entanglement in funding banditry, ostensibly to perpetuate his interests in illicit mining operations, raises fundamental questions about governance, ethical standards, and accountability. Governor Lawal, who initially vowed to adopt a hardline stance against bandits, appears to have reneged on his promise by engaging in a contentious scheme involving substantial financial transactions with bandit leaders.

Recent revelations indicate that Governor Lawal has allegedly allocated over N1.3 billion to bandits and media propagandists, a move that starkly contradicts his earlier avowed commitment to combating terrorism and criminality.

The list of recipients and the substantial amounts they received has shamefully become public knowledge, further exacerbating concerns about Governor Lawal’s credibility and commitment to the welfare of Zamfara State citizens.

The leaked documents, bearing the requisite signatures for authentication, have exposed startling financial transactions to various individuals and entities, including:

Notoriously infamous bandit kingpins, who received substantial sums:

  • Kachalla Dogo Gide (N200 million), Bello Turji (N200 million), Ado Alero (N200 million), Kachalla Halilu Sububu (N150 million), Gwaska Dan Karami (N150 million)

Additionally, significant payments were made to media promoters, ostensibly for propaganda purposes:

  • Sahara Reporters (N100 million), Jackson Ude (N158 million), Bashir Hadejia (N100 million), Shuaibu Mungadi (N50 million), Tijjani Lamaran (N50 million), Danbilki Kwamanda (N20 million)

These startling revelations have sparked profound apprehensions regarding the misappropriation of public funds and potential collusion in perpetuating insecurity, thereby fueling widespread despondency among citizens.

The recipients of these payments are notorious individuals who have openly avowed to destabilize Nigeria, reveling in the chaos and destruction they sow. Their actions have led to the senseless slaughter of countless innocent Nigerians, leaving trails of devastation and shattered dreams.

The very fact that public funds have been allocated to these malevolent actors has crippled the nation’s collective aspirations, inflicting irreparable damage on the psyche of the citizenry.

These individuals embody the quintessence of economic sabotage, perpetuating an era of economic woe characterized by plunder, exploitation, and unbridled violence. The alleged payments to infamous bandit kingpins, notably Kachalla Dogo Gide and Bello Turji, as well as various media personalities, are deeply disturbing and raise fundamental questions about governance and accountability.

Reports suggest that these transactions are aimed to secure access to Zamfara State’s lucrative gold deposits, which have become a catalyst for violence and exploitation. Most troubling is the temporal correlation between these payments and the surge in attacks on communities rich in gold deposits, implying a causal link between financial transactions and escalated violence.

The principle of res ipsa loquitur, which translates to “the thing speaks for itself,” can be instrumental in assessing the situation at hand. This legal doctrine implies that the evidence of wrongdoing is so apparent that it speaks for itself, without needing extensive additional proof. In the case of Governor Lawal, several factors invoke this doctrine:

Nature of the Payments: The direct allocation of funds to bandit leaders, purportedly for their cooperation and continued operations, presents a clear and alarming picture. Such payments suggest an implicit acknowledgment of their influence and power, and an unsettling endorsement of their activities. The funds transferred to these terrorists were done solely at the discretion of Governor Lawal. These mode of transactions suggest a deliberate attempt to conceal the true intentions behind these payments.

Increase in Attacks: The correlation between the payments made to bandits and the uptick in violent attacks on communities, particularly those with gold deposits, reinforces the suspicion that these funds may have incentivized further violence. The timing of these attacks in the aftermath of the financial transactions amplifies the notion that the payments had a direct impact on the escalation of violence.

Lack of Transparency and Oversight: The funds were reportedly transferred without the involvement of the Zamfara State House of Assembly or any formal approval processes, highlighting a glaring lack of oversight and accountability.

There is nowhere in the approval that states that this criminal enterprise was undertaken with neighbouring states or the federal government. The absence of procedural transparency further compounds the suspicion of illicit motives behind these transactions.

Media Transactions: The allocation of significant amounts to media figures and organizations, such as Sahara Reporters and Jackson Ude, raises questions about the intent behind these payments. The possible use of media platforms to propagate bandit-friendly narratives or deflect attention from the governor’s actions could be viewed as a strategic move to manipulate public perception and obscure the truth.

The lingering inquiry that demands attention is: Does Governor Dauda Lawal harbor complicity in the scourge of banditry? A meticulous examination of the available evidence appears to indicate a disturbing nexus between Lawal and notorious bandit leaders, coupled with the clandestine role of his media aides in disseminating terrorist propaganda, specifically targeting opposition party leaders and artfully shifting blame onto preceding administrations.

The recent document exposing allocations from the state security Trust Fund account to bandit leaders serves as a damning addition to the mounting body of evidence.

Cumulatively, these incriminating circumstances constitute prima facie evidence implicating Governor Lawal in the sponsorship of banditry, warranting rigorous scrutiny and accountability. Governor Dauda Lawal’s deafening silence in the face of these grave allegations is profoundly troubling, fostering an atmosphere of suspicion and skepticism.

The glaring absence of a clear, convincing explanation or defense from the governor’s office only serves to intensify the perception of culpability, eroding public trust and confidence in his administration. In a democratic polity, such silence can be construed as an implicit acknowledgment of guilt or, at the very least, an unwillingness to confront the grave concerns and serious allegations raised by these revelations.

Considering the far-reaching consequences of these actions on the security and stability of Zamfara State and, by extension, Nigeria, a comprehensive and impartial investigation into Governor Lawal’s dealings is imperative.

The available evidence unequivocally indicates a necessity for intensified scrutiny and accountability, as the governor’s alleged actions, if substantiated, constitute a egregious breach of public trust and a grave dereliction of duty in addressing the pervasive banditry crisis.

The allegations leveled against Governor Dauda Lawal, particularly the assertion that he disbursed substantial sums to notorious bandit leaders and media personalities, demand rigorous and unflinching investigation. Governor Lawal’s actions, as alleged, provide a disturbing framework for understanding the gravity of the situation, predicated on verifiable facts and the alarming correlation between the payments and the ensuing escalation of violence.

The severity of these allegations necessitates an exhaustive probe, unhindered by political considerations or institutional obstacles, to unearth the truth and ensure accountability. Self-evidently, the facts speak for themselves, and no prophetic insight is required to discern Governor Lawal’s complicity in perpetuating insecurity.

The overwhelming evidence implicating Governor Dauda Lawal in the financing of banditry in Zamfara State is nothing short of staggering. His conspicuous silence and lack of transparency only serve to exacerbate suspicions, further solidifying the perception of complicity.

As the doctrine of res ipsa loquitor aptly suggests, the circumstances surrounding Governor Lawal’s actions speak for themselves, undeniably pointing to culpability, and right now, the time for accountability and consequences has arrived.

To move forward, it would be a prudent step if anti-graft agencies swiftly investigated and verified the transactions outlined in the document, froze all accounts linked to the listed beneficiaries, and prosecuted the recipients for terrorism financing.

As this situation continues to unfold, it is important that Mr President issues an Executive Order prioritizing transparency and accountability.

This order should facilitate the swift identification and prosecution of all individuals connected to insecurity in Zamfara State and the North-West, eradicating terrorism from the region. Moreover, those responsible for perpetuating violence and undermining state integrity must be held accountable to the fullest extent of the law.

Governor Dauda Lawal’s thunderous silence is increasingly intolerable, and the people of Zamfara State, indeed all Nigerians, deserve straightforward and honest explanations.

It Is crucial that he provides a credible and convincing account, far surpassing the simplistic and unsubstantiated childish narratives that have thus far been offered by his aides.

In light of the doctrine of res ipsa loquitor, which dictates that the circumstances themselves establish culpability, it is reasonable to conclude that Governor Lawal, by virtue of his position as the chief executive of Zamfara State, possesses critical information regarding the masterminds behind the banditry plaguing the North-West.

In essence, Governor Lawal’s proximity to the crisis and his constitutional responsibility to ensure public safety obligate him to disclose the truth, furnishing the public with a comprehensive understanding of the forces driving this insecurity. Nigerians are waiting to hear from him.
